    Carla Koffel LLB.(Hons), Gdip App Fin, ASIA

    Carla has a broad range of experience in drafting, advising on and negotiating the terms of various Joint Ventures, related debt and equity investments in those joint ventures including development of a large scale retirement village in New South Wales and proposed ventures in both Indonesia and China.

    She is experienced in Mergers & Acquisitions including drafting, advising on and negotiating private treaty share and business sale and purchase agreements, related security documents and various other related documentation such as option agreements, licence agreements, on-going service of key persons and directors and employment agreements.

    Carla is also experienced in commercial transactions including drafting and advising on supply contracts, advising on tenders for the provision of catering and multi services, drafting and advising on global supply contracts and drafting and advising on restructure of agreements for supply of contract management services.

    She has advised on negotiating the terms of various acquisitions of companies and businesses and negotiation of related security arrangements including acquisition of Hotels and Golf Courses, Property Development Companies and Waste Disposal Businesses.

    Carla has advised in relation to share and asset acquisitions and disposals, corporate structuring and taxation issues in regard to Australian taxation legislation and international taxation issues including creating or making changes to international corporate structures and establishing Australian subsidiaries for international companies. General commercial advice includes negotiation and drafting banking documents such as charges and loan agreements, and commercial documents such as supplier terms and conditions, and directors indemnity deeds.

    Carla has experience in advising in regard to the Corporations Act, ( including corporate governance, compliance, risk minimisation and drafting related documentation.), Property, (acquisition, development of large scale properties, subdivision, liaising with Government authorities including Environment and Councils.

    Other areas of practice include Employment Law including representation of clients in the Industrial Relations Commission and litigation in the District, Local and Supreme Courts of NSW.

    Carla has undertaken studies at the European University Institute Academy of European Law in Florence Italy, and Social Accountability International in Denver Colorado USA and is currently completing a Masters of Laws (International Law). Carla has a particular interest in Human Rights Issues and Corporate Social Responsibility and is a Co-Author of "Globalisation of Youth Activism and Human Rights" ("Highly Affected, Rarely Considered") published by Oxfam International Youth Parliament. She has a Graduate Diploma in Applied Finance & Investment, and is an Associate Member of the Securities Institute of Australia.

    Carla, in her personal life, is an accomplished equestrienne, having represented Australia in showjumping. She also practices in this niche area of Equestrian Law including sale and purchase, leasing, litigation, and overseas transactions.
